This article provides a critical analysis of the legal consequences of the asset purchase agreement concluded between “YandexEats” LLC FE and “Express24APP” LLC in Uzbekistan, with particular focus on whether this transaction may be qualified as economic concentration under national competition law. Although the Competition Development Committee concluded that prior approval was not required within the framework of economic concentration control, the factual circumstances indicate that a legal and operational connection between the parties remained after the transaction. This raises doubts as to the purely formal classification of the transaction. Pursuant to Article 26 of the Law of the Republic of Uzbekistan “On Competition,” economic concentration control primarily applies to the acquisition of shares or participatory interests. However, the present case reveals a potential regulatory gap concerning consolidation carried out through the acquisition of assets. The key legal issues include whether the transaction conceals a de facto acquisition of a participatory interest, whether the public offer may be regarded as an anticompetitive agreement, and whether the transaction may lead to a deterioration in consumer welfare.
