This scientific work presents a comprehensive and in-depth analysis of the legal regulation of the reorganization process of a limited liability company by transforming it into a joint-stock company in accordance with the legislation of the Republic of Uzbekistan. Special attention is given to the theoretical foundations of the transformation institute, including the legal framework, objectives, and essence of this method of corporate reorganization. The study thoroughly examines the key procedural stages of the transformation, including the preparation and adoption of relevant decisions, the procedure for notifying interested parties, and the registration of changes with state authorities. The legal consequences of the transformation are analyzed, such as the transfer of rights and obligations, issues of legal succession, and the specifics of forming and distributing the authorized capital and shares in the new joint-stock company. Particular emphasis is placed on assessing the difficulties and problems that arise in the practical implementation of legal norms revealed in the law enforcement practice of the Republic of Uzbekistan. Recommendations are proposed to improve the regulatory framework to enhance transparency and protect the interests of all participants in corporate relations, including creditors and shareholders.
