This article analyzes the activities of institutional investors in the securities market and their legal regulation. Institutional investors, including pension funds, insurance companies, investment funds, and other large financial organizations, play a crucial role in ensuring the stability of the stock market. The article examines the legal status of these investors, their impact on market activities, and existing issues in national legislation. The study findings highlight the need to improve the regulatory framework governing institutional investors, particularly by clearly defining their rights and obligations, enhancing market transparency, and strengthening mechanisms for investor protection. Furthermore, recommendations are proposed for reforming national legislation based on the experience of developed countries. The article provides conclusions and recommendations of practical significance for securities market participants, regulatory bodies, and legal professionals. These recommendations contribute to the further development of institutional investors and enhance the competitiveness of the national capital market.
