This article analyzes the challenge of balancing the interests of majority and minority shareholders in joint-stock companies within the Republic of Uzbekistan. The study examines the legal status of joint-stock companies, mechanisms for protecting shareholder rights, existing problems in safeguarding the interests of minority shareholders, and ongoing reforms in the corporate governance system as of 2025. The Law of the Republic of Uzbekistan "On Joint-Stock Companies and the Protection of Shareholders' Rights" serves as the primary legal framework governing the activities of joint-stock companies and the protection of shareholder rights. This law regulates matters concerning the establishment, operation, reorganization, and liquidation of joint-stock companies, as well as the protection of shareholder rights. The article also provides extensive coverage of issues such as the minority shareholders' committee, information transparency, the corporate governance code, dividend policy, auditing, conflicts of interest, and management efficiency in joint-stock companies with state participation.
