This paper examines the key legal aspects of implementing blockchain technology in the corporate governance system of the Republic of Uzbekistan. The author analyzes current legislative initiatives in the context of the country’s economic digitalization and identifies legal gaps and conflicts in the regulatory framework that hinder the effective application of distributed ledgers in corporate relations. The paper proposes areas for improving legal regulation to ensure the legitimacy of using smart contracts, tokenizing corporate rights, and digitalizing corporate governance processes. The study demonstrates that the integration of blockchain technologies can significantly enhance management transparency, reduce transaction costs, and minimize corporate risks, provided that the legislative framework is appropriately modernized.
