This article examines the civil-law nature of sham investment activity as a specific form of abuse of the legal framework governing investment relations. It analyzes theoretical approaches to the concept of a sham transaction and their applicability to the investment sphere, and identifies the criteria that make it possible to distinguish sham investment activity from genuine investment relations and simulated (disguised) transactions. Particular attention is paid to the inconsistency between the formal structuring of investment agreements and their actual economic and legal substance. The paper also considers the civil-law consequences of recognizing investment activity as sham, including issues of transaction invalidity, restitution, and the denial of judicial protection.
