The article examines the legal nature of franchising as an investment instrument. It explores the characteristics of hybrid and quasi‑investment models that generate legal uncertainty and increased risks for market participants. Particular attention is given to the qualification of legal relations between franchisors and franchisees, the delineation of such relations from investment contracts, and the necessity to enhance the legal framework to ensure legal certainty and investor protection.
