This article examines the issues related to the exercise of shareholders’ rights to dividends in Uzbekistan. The relevance of the topic is determined by the fact that the shareholder’s right to dividends is one of the key financial rights arising from share ownership. Therefore, the transparency and effectiveness of exercising dividend rights are among the main criteria considered by investors. The purpose of this article is to examine the legal nature, mechanism of exercise, and protection of shareholders’ right to dividends. The methodological basis of the research consists of a combination of formal legal, systemic-structural, comparative legal, doctrinal, and analytical methods. As a result of the study, it is established that the right to dividends is not an automatic and unconditional right, but rather has a multi-stage mechanism of formation.
