Criminal-Law Protection of Corporate Relations in the Russian Federation: The Protected Object, Key Offences, and the Problem of Raider Takeovers

Annotatsiya

The article examines the criminal-law protection of corporate relations as a specific segment of economic activity and the sphere in which corporate participants exercise their subjective rights. The study relies on civil and criminal legislation, doctrinal approaches to the nature of corporate relations and the concept of the protected object in criminal law, as well as selected court practice. It is argued that although corporate relations are not explicitly listed among criminal-law protected objects, they are covered indirectly through the protection of human rights, property, and lawful economic activity. The paper addresses offences directly encroaching on corporate rights (primarily Articles 185.4 and 185.5 of the Russian Criminal Code) and identifies practical issues of legal qualification and delimitation between criminal and administrative liability. Special attention is paid to raider takeovers as a complex criminal phenomenon involving corporate control: definitions of hostile takeovers are discussed, and preventive measures are proposed at the levels of legislation, law enforcement, and corporate compliance.
