This article examines the concept and legal nature of “major transactions” in the corporate law of the Republic of Uzbekistan. It analyses Articles 83–84 of the Law On Joint-Stock Companies and Protection of Shareholders’ Rights and Article 44 of the Law On Limited Liability Companies, which set the procedures for concluding and approving major transactions. The paper highlights the dual character of major transactions—as instruments of both civil and corporate law—and their role in promoting transparency, accountability, and protection of shareholders’ property interests. It identifies key enforcement problems: absence of clear criteria for identifying interrelated transactions, inconsistent terminology and valuation practices, lack of mandatory independent appraisals for LLCs, and divergent interpretations of what constitutes a major transaction. To address these gaps the study proposes unifying definitions, codifying the notion of interrelated transactions (with clear objective criteria), standardising valuation methods, introducing mandatory independent appraisal for certain LLC deals, and establishing public disclosure mechanisms through the Capital Market Development Agency.
