This paper examines critically the advantages and disadvantages of restating and codifying commercial law principles and rules, with particular focus on the English common law tradition and relevant transnational perspectives. It explores the historical evolution of English commercial law, the conceptual distinction between restatements and codifications, and the ongoing debate over whether the benefits of clarity, certainty, and accessibility outweigh the risks of rigidity and oversimplification. The paper concludes that any future codification efforts should balance the need for legal certainty with the dynamism required to address the complexities of contemporary and transnational commerce.
