The article examines the key legal principles, theoretical approaches, and significant court cases that have shaped the field of management. It also examines the challenges of balancing shareholder and stakeholder interests and assesses the effectiveness of existing governance mechanisms for aligning directors' actions with broader corporate responsibilities.
