Based on an analysis of Uzbek legislation on commercial bribery, international standards, and 2023 sentencing data, we argue that the direct object of commercial bribery should be linked not to an organization’s reputation but to the social relations ensuring that managerial powers are exercised loyally and in accordance with the lawful interests of the principal and third parties. On this basis, we distinguish between an owner acting within their own business, lawful commercial incentives, gifts of negligible value, and commercial bribery. We demonstrate that persons acting on behalf of individual entrepreneurs and notaries in private practice remain outside the scope of existing provisions. We propose a functional criterion for identifying persons entrusted with state functions, based on four cumulative features, a minimum age of criminal responsibility of eighteen for bribe recipients, and safeguards for recognizing non-pecuniary advantages as the subject of bribery.
