The article examines the legal nature of a limited liability company (hereinafter LLC), its definition and main features. In this material, a comparative analysis of the GmbH system of Germany and LLC of Uzbekistan is carried out. The article focuses on the evolution of a limited liability company and its impact on other countries. This article indicates that there are no minimum requirements for authorized capital in Uzbekistan. The author analyzes that in the continental system of the EEC, there is a slightly different approach in determining the constituent agreement and its content. In particular, it is noted that the constituent agreement is subject to notarization, the court only has the right to refuse registration, there are special requirements for determining the authorized capital and its formation. The materials indicate that in Uzbekistan there is an outdated organizational and legal form as a company with additional responsibility. The article also points out that in Germany stricter requirements for the minimum size of the authorized capital, but under the influence of uniform directives, in Germany allowed the creation of limited liability companies with one euro. The author also notes that the constituent agreement in the Uzbek model may not play a significant role.
