This article examines the civil-law nature of smart contracts operating on blockchain technology. It compares opposing scholarly approaches to recognizing smart contracts as legally binding contracts and argues that expressing contractual terms in program code rather than natural language does not, in itself, alter their legal status. The study identifies several legal and technical challenges, including errors that may arise when the parties’ intentions are translated into program code, difficulties in verifying the identity of participants in blockchain networks, and the reintroduction of reliance on trusted third parties when information about off-chain events is supplied through oracles. Particular attention is paid to the implications of automated execution for traditional mechanisms used to secure the performance of obligations and for contractual liability. Drawing on comparative legal experience, the article also examines the attribution of liability among the parties and other actors involved in the operation of smart contracts. Finally, it proposes amendments to the Civil Code of the Republic of Uzbekistan concerning smart contracts and identifies further directions for the legal regulation of smart-contract relationships.
