The article analyzes the conclusion and execution of contracts with a limited liability company Although a limited liability company participates in civil transactions on its own behalf, certain persons will stand behind them. In this case, it will be necessary to determine the interests of individuals and legal entities, the scope of their duties. Issues related to the activities of a limited liability company are regulated by the legislation in a relatively fragmented and fragmented manner. There are certain repetitions and contradictions in the Civil Code of the Republic of Uzbekistan, the laws “On Limited and Additional Liability Companies”, “On Business Companies”, “On Property in the Republic of Uzbekistan”. An analysis of litigation on the activities of a limited liability company shows the need for a systematic approach to this issue, the relevance of the uniform formation of judicial practice. The proposed study will provide a complete picture of the organization of a limited liability company, the rights and obligations of participants, their responsibilities. The scientific views of scientists, the participation and responsibility of limited liability companies in civil law relations in the context of the ongoing judicial reform are also considered in detail. The form of contracts concluded in the course of the economic activities of a limited liability company and the observance of the procedure for their registration require special attention, and these issues have not been comprehensively studied from today's point of view. As a result of the analysis of the issues raised in the article, the author puts forward certain conclusions and suggestions.
